David has authored numerous franchise related articles for national franchise magazines and has presented seminars on licensing, distribution and franchising topics conducted by the Ontario government, Ontario Bar Association, and the Canadian Franchise Association.

Profile

David Gray is an associate in our Franchise Practice Group.  David was admitted to the Ontario Bar in 1999.  He graduated from the University of Western Ontario Faculty of Law in 1997. In addition, David holds an MBA from Concordia University and a Bachelor of Commerce from McGill University.  In keeping with his business interests David is also a licensed commercial real estate sales person and a registered trade-mark agent.

David provides practical and cost effective guidance to business clients in all phases of development from entrepreneurial sole proprietor start-ups to mature corporate businesses.
 
In addition to advising on general corporate and commercial law matters, David has significant experience in the areas of: franchising, licensing, intellectual property, and commercial and corporate disputes. David regularly advises his clients on the following franchise related matters:

  • negotiating franchise and master franchise agreements,
  • drafting disclosure documents,
  • representing franchise associations,
  • concluding franchise transactions, including workouts,
  • resolving defaults,
  • development of franchise networks,
  • intellectual property matters, including prosecution, licensing, and assignment of trade-marks.
